Welcome to Raya Health, a service operated by Hello Raya, LLC (“Raya,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our platform, services, and website (collectively, the “Services”). By accessing or using Raya Health, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
Raya Health provides a subscription-based platform designed to help individuals and families organize, manage, and navigate healthcare-related information and logistics.

Raya Health is not a healthcare provider and does not provide, offer, or facilitate medical care, diagnosis, or treatment of any kind.
All information provided through the Services, by a Care Coordinator, or by any Raya Health employee, contractor, or representative is strictly for informational and organizational purposes only. Any and all recommendations, referrals, or insights shared are not medical advice, are not intended to serve as clinical guidance, and must not be relied upon as a substitute for professional medical judgment.
Raya Health does not provide medical advice, diagnosis, or treatment. All decisions regarding care, treatment, and next steps remain solely the responsibility of the individual, their circle of care, and their licensed healthcare providers. You should always seek the advice of a qualified healthcare provider regarding any medical condition or treatment decision.
If included in your subscription, Raya Health may provide access to a Care Coordinator.

You and your circle of care remain solely responsible for all healthcare decisions.
You must be at least 18 years old and capable of forming a binding contract.
If you use the Services on behalf of another individual, you represent that you have the authority to do so.
You’re responsible for maintaining the confidentiality of your account credentials, ensuring the accuracy and completeness of all information provided through the Services, and managing access to your care circle; by inviting, adding, or granting access to any individual, you expressly authorize and consent to the disclosure and sharing of your information, including any personal, health-related, or sensitive information, with such individuals, and you acknowledge and agree that Hello Raya, LLC is not responsible for how any invited individual uses, shares, or safeguards that information once access has been granted, and that you remain solely responsible for determining who is granted access, the level of access provided, and for managing or revoking such access at any time.
You agree not to use the Services for any unlawful purpose, to attempt to gain unauthorized access to any systems, networks, or data, to interfere with or disrupt the operation or integrity of the Services, or to upload, transmit, or otherwise provide any information that is false, misleading, or harmful, and you acknowledge that Hello Raya, LLC reserves the right to suspend or terminate your access to the Services for any violation of these Terms.
We recognize that health-related information is sensitive, and Hello Raya, LLC implements reasonable administrative, technical, and physical safeguards designed to protect such information; however, at this time, Raya Health may not operate as a covered entity or business associate under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) in all cases, and by using the Services you acknowledge and agree that the platform may not meet all HIPAA regulatory requirements and that certain communications or features may not be fully HIPAA-compliant, and you further acknowledge that Raya Health is actively working toward HIPAA-aligned operations.
Raya Health intends to support HIPAA-compliant workflows and may enter into Business Associate Agreements (“BAAs”) with qualified customers or partners; upon formally operating as a Business Associate, additional terms may apply and a separate BAA may govern the use, disclosure, and safeguarding of protected health information, and in the event of any conflict between these Terms and an executed BAA, the terms of the BAA shall control with respect to such protected health information.
You hereby authorize Hello Raya, LLC to store, process, and use your personal and health-related information as necessary to provide the Services, including sharing such information with individuals you designate within your care circle and using it to facilitate coordination and support services; and if you provide information about another individual, you represent and warrant that you have the full legal authority and all necessary consents to disclose such information and to permit its use in accordance with these Terms.authority and consent to do so.

Raya Health may, from time to time, recommend, refer, or facilitate connections with third-party providers or services; however, you acknowledge and agree that such third parties are independent and are not employees, agents, or representatives of Hello Raya, LLC, that Hello Raya, LLC does not control, endorse, or guarantee the quality, safety, legality, or performance of any such third-party services, and that any interactions, engagements, or reliance upon such third parties are undertaken solely at your own risk.
All content, software, and materials associated with the Services are owned by or licensed to Hello Raya, LLC.
You may not copy, distribute, or misuse any materials without permission.
The Services are provided on an “as is” and “as available” basis, and to the fullest extent permitted by applicable law, Hello Raya, LLC disclaims all warranties of any kind, whether express, implied, or statutory, including without limitation any warranties of accuracy, completeness, availability, reliability, merchantability, fitness for a particular purpose, and non-infringement, as well as any warranties regarding the outcomes or results obtained from use of the Services.
To the fullest extent permitted by applicable law, Hello Raya, LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, loss of data, or loss of use, arising out of or relating to the Services, nor for any medical or health-related outcomes, any decisions or actions taken or not taken in reliance on the Services, or the acts, omissions, services, or performance of any third-party providers, regardless of the theory of liability and even if advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Hello Raya, LLC, and its officers, employees, contractors, and Care Coordinators from and against any and all claims, demands, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, any healthcare decisions made by you or on your behalf, any interactions or engagements with third-party providers or services, any information that you submit, upload, or share through the platform, and any violation of these Terms.
a. Agreement to Arbitrate: Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration.
b. Arbitration Process: Any arbitration shall be administered by the American Arbitration Association in accordance with its applicable rules, and shall be conducted in Fulton County, Georgia before a single neutral arbitrator, whose decision shall be final and binding on the parties.
c. Exceptions: Either party may, notwithstanding the foregoing agreement to arbitrate, bring an individual claim in a court of competent jurisdiction for small claims if such claim qualifies, and may seek injunctive or equitable relief in any court of competent jurisdiction to prevent or address actual or threatened misuse of the Services or infringement or misappropriation of intellectual property rights.
d. Class Action Waiver: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You expressly waive any right to participate in a class action, class arbitration, or any other representative action, and you further waive the right to act as a representative plaintiff or to seek relief on behalf of any other individual or group.
e. Jury Trial Waiver: You waive any right to a trial by jury.
We may suspend or terminate access for violations of these Terms. You may stop using the Services at any time.
We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
These Terms are governed by the laws of the State of Georgia.
